Citadel Directors’ Institute to connect SC executives with national leaders

Registrants being accepted for the May 1 day of networking and learning about working with boards

CHARLESTON, SC − A Morgan Stanley board member, a former Delaware Supreme Court Chief Justice, and a member of the Public Company Accounting Oversight Board are cdi logoamong the nationally renowned leaders participating in The Citadel Directors’ Institute (CDI) to be held May 1. Registration is currently underway for the one-day program which is hosted annually by The Citadel School of Business. This will be the sixth year for the event which will take place from 8 a.m. – 4 p.m. at Charleston’s Francis Marion Hotel located at 387 King St.

CDI is designed for public and private company corporate directors and their executives to connect and discuss emerging issues and best practices in board oversight. This year’s program will give business leaders the opportunity to participate in discussions focused on emerging cyber security threats, new developments in corporate governance, succession planning, and business ethics. There will also be two sessions for board members and executives with regional and community banks, and there will be four sessions covering important new issues:

  • The Effect of New Regulations in Setting CEO and Director Compensation
  • Emerging Trends in Multi-Forum Litigation
  • Expansion of Aiding and Abetting Breaches of Fiduciary Duty—a Warning to Directors and their Advisors in Mergers & Acquisitions Scenarios
  • The Impact of New Auditing and Accounting Standards

CDI is different from other programs in that it provides an intimate setting where participants can interact with nationally recognized experts throughout the day, building relationships that would otherwise not be possible. Most programs of this stature are held in large cities such as Chicago, New York and San Francisco.

Each year CDI organizers assemble a distinguished faculty. This year, the faculty is composed of the former Chief Justice of the Delaware Supreme Court, a mixture of internal corporate lawyers who specialize in corporate governance cases, and experts on risk and board compensation. Some of the faculty members are Myron Steele, former Delaware Supreme Court Chief Justice; Donald Nicolaisen, Board Member of Morgan Stanley and co-chairman of the US Treasury Advisory Committee on the Audit Profession; and Jay D. Hanson, Board Member of the Public Company Accounting Oversight Board.

“The business environment is always fluctuating, so it’s important for directors and executives to stay on top of changing trends and issues,” says William Trumbull, Ph.D., dean of The Citadel School of Business. “The Citadel Directors’ Institute will bring together nationally recognized leaders who will arm attendees with the knowledge and information they will need to be a Board leader and make their respective company as successful as possible.”

Directors of public or private companies as well as board members of regional and community banks are encouraged to attend. The cost is $395. Space for the conference is limited to 75 participants.
